What does Learnerbly do?
We connect companies and their employees with learning resources facilitating direct purchases from our Partners.
2. Partner Responsibilities
What are my responsibilities as a Partner?
As a Partner, you agree to:
Deliver high-quality services professionally.
Comply with data protection laws.
Provide technical support if needed.
Respect intellectual property rights.
Maintain confidentiality and security.
What if a Client has an issue with my services?
Learnerbly is here to support clients with any issues they may face. Our learners typically reach out to our customer support team to report any concerns, which we then escalate to our Partners if necessary to work together toward a resolution.

3. Commission and Payments
How is commission calculated?
Learnerbly may purchase learning content from our Partners at a lower rate than list price, the difference is our commission. The structure/rate of this is defined in your Partner Agreement’.
When and how is commission paid to Learnerbly?
For partners who pay commission separately, you must pay the commission within 30 days of the end of the month in which you received payment.
Most partners invoice Learnerbly at a lower rate, reflecting the commission deduction. If you are unsure which structure applies to you, please refer to your Partner Agreement.
Who handles VAT and other taxes?
All payments are exclusive of VAT and other taxes. If VAT applies, Learnerbly will add it, and you’ll need to pay it.
4. Marketing and Promotion
Can Learnerbly promote my services?
Yes! By joining our marketplace, you allow us to promote your services to our Clients.
Can I contact your users to promote my services?
No, we do not allow Partners to contact our individual users for anything other than delivering the services they have requested via Learnerbly.
5. Intellectual Property and Confidentiality
Who owns the intellectual property of my services?
You do! Learnerbly does not claim ownership unless agreed otherwise in writing.
How is confidentiality handled?
Both parties must protect sensitive business and client information. We won’t share confidential details unless required by law.
6. Data Protection and Security
Who is responsible for data protection?
Both Learnerbly and Partners must comply with data protection laws. Your specific role (Data Controller or Data Processor) is outlined in your Partner Agreement.
What should I do in case of a data breach?
Inform Learnerbly within 48 hours and assist in resolving the issue, including notifying affected Clients.
7. Termination and Next Steps
How long is the initial term?
We have a minimum engagement term of 1 year from launching with us - this is to ensure our users have a stable experience and reflects our long-term commitment to working with our Partners.
How can I end my Partner Agreement?
Either party can terminate with at least two months' written notice, after the minimum term.
What happens after termination?
Securely delete or return any Learnerbly or Client data unless legally required to keep it.
Commission obligations still apply.
8. Legal and Liability Considerations
What are Learnerbly’s liability limitations?
We are not liable for indirect losses (e.g., lost profits). Our total liability is capped at the amount payable for the relevant services.
What laws apply to the Partner Agreement?
The agreement is governed by English law, and disputes will be settled in English courts.
